Railbase Core End User License Agreement (EULA)

This End User License Agreement ("EULA") is a binding agreement between you ("you", "Licensee") and Silkway Tech LLC, a Wyoming limited liability company with a mailing address at 5830 E 2nd St, Ste 7000 #30294, Casper, WY 82609, USA ("Company", "we", "us"), governing your installation and use of the Railbase core software — the downloadable, self-hosted Railbase server binary, its bundled admin console and site frontend, command-line tools, and accompanying documentation (together, the "Software").
This EULA supplements the Terms of Service. If you subscribe to or install a customer-facing Product or Suite, the Product & Suite Subscription Agreement additionally governs that Product and its technical Components. By downloading, installing, or running the Software, or by accepting this EULA in the Software's admin console, you agree to this EULA.
1. What the Software is
The Software is proprietary, closed-source business software distributed free of charge in binary form. It is licensed, not sold, and not open source. It is offered only to businesses and organizations for internal business use, not to consumers or for personal use. No source code is provided, and no rights are granted other than those expressly stated here.
2. License grant
Subject to your compliance with this EULA and the distribution-eligibility requirements below, the Company grants you a non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free license to download, install, and run the Software, in binary form only, on infrastructure your organization owns or controls, for its internal business purposes, on any number of its own instances.
Core is free of charge but is not an anonymous download. Initial downloads, re-downloads, installers, raw artifacts, checksums, and machine update grants require an authenticated Railbase B2B account with at least one registered company in approved effective KYC/company-verification status and an export-eligible destination. Distribution is denied while the account is closed or blocked, company verification is missing, pending, or blocked, required country information is missing, or the registered company, payer address, or verified request network is prohibited under Section 11. When a current sanctions screen is required to create, change, or transact for a company, missing, inactive, or stale screening data results in refusal rather than unscreened approval. For an unchanged company with a persisted effective approval, a screening-data outage alone does not revoke that approval and does not by itself prevent an authenticated Core re-download or update; all other account, export, credential, and optional enhanced-verification gates continue to apply. A company subject to the jurisdiction-specific review policy in the Terms — currently a Kazakhstan (KZ) company without recorded operator approval — remains pending and does not qualify the account for Core distribution. Enhanced provider-managed KYB/KYC is off by default; while enabled, a provider approval for the company's current legal identity is an additional distribution condition, and unavailable configuration, missing approval, pending/on-hold/resubmission status or rejection results in refusal. The provider may require registry data, company documents, ownership/management and UBO/director/representative identity evidence as described in the Terms and Privacy Policy. These controls govern distribution and updates; they do not remotely delete or disable a Core binary already running on your infrastructure or delete data in your Vault.
3. Restrictions
You may not, and may not permit or assist anyone else to:
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software or any component of it, except to the extent this restriction is prohibited by applicable law and then only after written notice to the Company;
- modify, adapt, patch, translate, or create derivative works of the Software;
- redistribute, resell, sublicense, rent, lease, lend, or provide the Software to third parties as a hosted or managed service whose primary value is the Software itself, except running it to serve your own business and its users, which is permitted;
- remove, obscure, bypass, or tamper with license enforcement, signature verification, activation, update, or other technical protection measures in the Software;
- use the Software to build, train, or improve a competing product, or to republish its embedded assets, documentation, or admin console outside the Software;
- use the Software in violation of applicable law, including export-control and sanctions law.
4. Ownership
The Software is and remains the exclusive property of the Company and its licensors, protected by copyright, trade-secret, and other intellectual-property laws. All rights not expressly granted are reserved. Feedback you choose to provide may be used by the Company without restriction or compensation.
5. Products, Components, and online services
The Software includes a distribution client that connects to railbase.app for Product discovery, company verification, owned-Product entitlement, installation, activation, and updates. Paid acquisition does not occur inside the Software: a Product link opens the signed-in Customer Account, and a purchase is available only there after the named company's required KYC/company-verification approval.
After purchase, the Software may display the Product as owned and request installation. railbase.app verifies the exact Product, Product Plan, named company, composition fingerprint, release-locked Component set, versions, and artifacts. Each Component is then installed as a signed, encrypted data-resident plugin bundle; the Software verifies its signature, stores it in the Customer's Vault, mounts its declared user interface, and decrypts it only at a licensed execution point. Products and Components are licensed separately from Core; nothing in this EULA grants Product or Component rights.
6. Updates and communications
The Software may check railbase.app for updates and may download and stage updates you initiate or enable. Product discovery, company registration, owned-Product installation, activation, licensing, deployment pairing, heartbeat, and update functions transmit the operational data needed to provide them — including the stable Account/project key, selected company identifier and registered legal details, instance/device fingerprint, deployment environment, Core, Product and Component versions, Product Plan and composition fingerprint, licence state, and privacy-safe aggregate usage where documented. The Software does not transmit the ordinary business records in your Vault to the Company through those control-plane flows. When enhanced KYB/KYC is enabled, company and representative evidence is submitted through the provider's separate hosted browser workflow, not read from the Vault by the Software.
The admin console and ordinary site users are separate security audiences. You are responsible for provisioning users, administrators, roles, tenant/company access, identity providers, session policy, and credentials appropriately. Component end-user interfaces run on the site-user surface and use the authenticated user's identity and selected company; an administrator session is not a substitute for an application-user session.
7. Free of charge; no obligation to support
The Software's Core is provided free of charge. The Company may, but is not obligated to, provide updates, fixes, or support for Core, and may discontinue distribution or development at any time. Support and service commitments, where they exist, arise only from a Product subscription, Order, or separate paid agreement that expressly states them.
8. Term and termination
This EULA is effective from your first download, installation, acceptance, or use of the Software and continues until terminated. It terminates automatically if you materially breach it. Upon termination you must stop using the Software and delete your copies. Sections 3, 4, and 9–12 survive termination. Your data remains yours: termination of this EULA does not delete or transfer your self-hosted data, which stays on your infrastructure.
9. Warranty disclaimer
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOU ARE RESPONSIBLE FOR YOUR SERVERS, BACKUPS, SECURITY, AND LEGAL COMPLIANCE OF YOUR SELF-HOSTED DEPLOYMENT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SOFTWARE. THE COMPANY'S TOTAL AGGREGATE LIABILITY UNDER THIS EULA WILL NOT EXCEED US $100 OR, IF GREATER, THE AMOUNTS YOU PAID THE COMPANY FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
11. Export and sanctions
You represent that you are not located in, organized under the laws of, or ordinarily resident in any prohibited jurisdiction, and are not a sanctioned or restricted party. You will comply with all applicable export-control and sanctions laws in using, exporting, re-exporting, transferring, supporting, or making the Software available. You will not use false company/billing information, a VPN, proxy, relay, intermediary, affiliate, or other means to conceal or evade the intended destination, end user, ownership, or end use.
The current destination policy does not supply Core, Products, or Components to Belarus, Cuba, Iran, North Korea, Russia, Syria, Crimea/Sevastopol, or the controlled Donetsk, Luhansk, Kherson, and Zaporizhzhia regions and may change as stated in the Terms. It applies to browser downloads, owned-Product installation, Component grants, and machine update grants independently of the tax-sales country list. A registered state/province/region is required where a country contains territory-level restrictions; a country-only Ukrainian company record is held. Optional request-network verification is off by default; while enabled, unavailable verification fails closed, a prohibited location, Tor, or open proxy is denied, and a browser VPN/private relay/hosting or declared-country conflict is held for retry or review. Normal data-center hosting is not by itself disqualifying for an authenticated self-hosted machine request.
The Software is downloadable object-code enterprise-management software with encryption. Pending completion of applicable U.S. encryption classification/review and reporting, the Company's conservative operating posture is ECCN 5D002; no EAR99 representation is made. Any 5D992.c mass-market treatment is conditional on satisfying applicable ENC requirements. The Company requires the authenticated B2B Account, approved company verification, and export eligibility described in Section 2 for every Core download and update grant. A missing, inactive, or stale sanctions snapshot blocks a new company/transaction decision but is not itself a sanctions match and does not remotely disable an already running Core. Once a current screen actually detects an Account-wide payer match, the detecting request or sweep blocks further Core distribution and suspends all separately licensed Product/Component entitlements server-side; connected and offline Component timing is stated in the Product & Suite Subscription Agreement and Terms. A match limited to one licensed company may suspend only that company's Product/Component entitlements while clean sibling companies continue. A manual company approval is time-limited to no more than 30 days, evidence-bound, independently approved when multiple authorized operators are configured, and invalidated by expiry or a changed identity/match; an appeal does not itself restore distribution. Blocking distribution or Component execution does not remotely delete the Core binary or your self-hosted Vault data.
12. Governing law; general
This EULA is governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules; exclusive venue lies in the state or federal courts located in Wyoming. If any provision is unenforceable, the remainder stays in effect. This EULA, together with the Terms of Service and, where applicable, the Product & Suite Subscription Agreement, is the entire agreement regarding the Software. The Company may update this EULA for new Software versions; the version you accepted governs the copies you accepted it for, and continued use of new versions after notice constitutes acceptance of the updated EULA.
